This Terms of Use and Agreement (the "Agreement") is made between Taylor Visuals Inc. ("TVI") and Marvel ("Marvel"). The Agreement outlines the terms and conditions for the use of luxury vehicles by individuals who hold $TVM tokens ("Token Holders").
1. Full Coverage Insurance Requirement
In order to participate in the full use of any luxury vehicle associated with the $TVM token, the Token Holder must provide valid full coverage insurance. Full coverage insurance must be submitted and verified before token-gating and receipt of the vehicle key.
Failure to Provide Insurance: If full coverage insurance is not provided at the time of token-gating, the Token Holder will not be permitted to operate the vehicle. Instead, a chauffeur will be assigned to transport the Token Holder to their destination(s).
2. Age Requirement
To operate the vehicle, the Token Holder must be 25 years of age or older.
Failure to Meet Age Requirement: Token Holders under the age of 25 will not be permitted to drive the vehicle and will be chauffeured to their destination(s).
3. Valid Driver’s License Requirement
Token Holders must possess a valid driver's license in order to drive the vehicle.
Failure to Provide a Valid Driver's License: If the Token Holder does not have a valid driver’s license, they will be chauffeured to their destination(s).
4. Liability for Damages
Drivers who participate in the full use of the vehicle are solely responsible for any damages or accidental incidents during the time they are in control of the vehicle. TVI and Marvel will not be held liable for any accidents or damages caused by the Token Holder while driving the vehicle.
Chauffeur-Driven Incidents: In cases where the Token Holder is chauffeured, the chauffeur assumes liability for any damages or accidents that occur during the ride.
5. Scheduling and Usage of $TVM Tokens
Token Holders are entitled to a limited number of vehicle uses per year, based on availability and scheduling:
Token Holders are entitled to 3-4 uses per year.
Token Holders are guaranteed up to 2 uses per year. Additional uses beyond the guaranteed 2 uses are subject to availability.
Token Holders must adhere to the scheduling system, with dates and calendar slots posted annually on the website.
6. Notice of Schedule Changes
If a Token Holder needs to reschedule their token usage, they must provide two weeks' advance notice. Failure to provide sufficient notice will result in a usage charge for the scheduled time of the $TVM token.
7. Adherence to Laws
All Token Holders must comply with state and federal laws while using the vehicles. Failure to adhere to applicable laws may result in penalties or termination of the Token Holder’s right to use the vehicle.
8. Prohibition of Membership Transfer
The use of a $TVM token is exclusive to the individual Token Holder. Under no circumstances may the token or membership be transferred or used by another individual. Violation of this provision will result in an immediate ban from further use of the token.
9. Chauffeured Use
If the Token Holder fails to meet any of the above requirements (full coverage insurance, age, valid driver’s license), they will be chauffeured to their destination(s) in accordance with the terms of this Agreement.
10. Termination of Token Rights
Taylor Visuals Inc. and Marvel reserve the right to revoke the privileges of any Token Holder who violates these terms, including but not limited to misuse of the token, failure to meet insurance, age, or license requirements, or failure to comply with scheduling guidelines.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New York, New Jeresey , Florida , Connecticut.
12. Amendments
Taylor Visuals Inc. and Marvel reserve the right to amend this Agreement at any time, with notice provided to the Token Holders.
By accepting and using the $TVM token, you agree to comply with all terms and conditions set forth in this Agreement.
